In the event of a conflict between these general Terms and a signed SOW, the project-specific SOW will take precedence.

2. Client Obligations

To ensure successful project delivery, you agree to:

• Provide accurate, complete, and timely information, copy, or assets required for the execution of the services.
• Review deliverables and provide feedback within agreed timelines.
• Ensure you own the legal rights or have proper licenses for all materials, assets, and branding elements you provide to us.

3. Intellectual Property Rights

• Our Materials: We retain ownership over all pre-existing methodologies, proprietary tools, frameworks, and foundational code bases utilized during the project.
• Final Deliverables: Upon final payment of all outstanding invoices, ownership and intellectual property rights of the custom final design layouts, custom website code, and content generated explicitly for your project transfer entirely to you.

4. Payment Terms

Payment terms, including deposit requirements, milestone billing, or recurring retainers, will be outlined in your specific project contract or invoice. Payment is due within the timeframe specified on the invoice. We reserve the right to suspend work or pause active digital deployments if accounts remain overdue.

5. Confidentiality

Both parties agree to treat all non-public technical, financial, or business details shared during the relationship as strictly confidential. This obligation survives the termination of any active service agreement or project engagement.

6. Limitation of Liability

To the maximum extent permitted by applicable law, Technative Labs Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, revenue, or business opportunities, arising out of or in connection with your use of our website, tools, integrations, or completed agency deliverables.

7. Governing Law

These Terms, along with any separate agreements whereby we provide you services, shall be governed by and construed in accordance with the laws of England & Wales, without giving effect to any principles of conflicts of law.

8. Changes to These Terms
